Terms of Service

1. Agreement to Terms

By installing or using BrandLift Live Designer ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use our services.

These Terms constitute a legal agreement between you ("Merchant", "you", or "your") and BrandLift, operated by Kodiak Decorated Products ("BrandLift", "we", "our", or "us"), a company located in Green Bay, Wisconsin, United States.

These Terms apply to your use of the BrandLift Live Designer application, the livedesigner.ai website, Kodiak Print on Demand fulfillment services, and all related tools, integrations, and services (collectively, the "Service").

2. Description of Service

BrandLift Live Designer is a product customization and fulfillment platform for Shopify stores. Our services include:

• Live Designer: Real-time product customization tools that allow your customers to personalize products on your storefront.
• Print-Ready File Generation: Automatic generation of production-quality design files from customer orders.
• Product Bundles: Multi-product personalized kit configuration that bypasses Shopify's variant limits.
• Client Storefronts: Branded online stores for your clients (schools, businesses, organizations).
• Kodiak Print on Demand: First-party fulfillment of laser-engraved drinkware and decorated products, produced by Kodiak Decorated Products in Green Bay, WI.
• Third-Party Fulfillment Integrations: Order routing to print-on-demand providers such as Printify and Printful.
• Analytics and Health Score: Business performance insights and guided optimization recommendations.

3. Account Requirements

To use our Service, you must:

• Have an active Shopify store
• Be at least 18 years old or the age of majority in your jurisdiction
• Provide accurate and complete account information
• Maintain the security of your account credentials

You are responsible for all activity that occurs under your account.

4. Subscription Plans and Billing

4.1 App Subscription (Shopify Billing)

BrandLift Live Designer subscription plans are billed through Shopify's billing system. By subscribing, you authorize Shopify to charge your payment method for: monthly subscription fees at the rate of your selected plan, usage-based overage charges (order overages, AI image generation, background removal) calculated per your plan terms, and storefront usage charges based on peak concurrent active storefronts.

Current plan details and pricing are available on our Shopify App Store listing. Prices are subject to change with 30 days' notice.

4.2 Free Trial

New users receive a 14-day free trial. No credit card is required to start your trial. After the trial period, you must subscribe to a paid plan to continue using the Service. Free trials are limited to one per Shopify store.

4.3 Kodiak POD Fulfillment Charges (Stripe Billing)

When you use Kodiak Print on Demand fulfillment, product manufacturing and shipping costs are charged separately from your app subscription. These fulfillment charges are processed through Stripe, not through Shopify's billing system, because they represent product manufacturing costs paid to Kodiak Decorated Products — not software fees.

By using Kodiak POD, you agree to:

• Provide a valid payment method via Stripe for fulfillment charges
• Pay the manufacturing cost and applicable shipping fees for each order before production begins
• Authorize charges to your saved payment method for each Kodiak POD order

Pricing: Kodiak POD product pricing is displayed in the app before you publish products to your store. Your fulfillment cost per item is visible on the product detail page and in the order confirmation before you authorize payment. Retail pricing (what your customers pay) is set by you.

Payment Timing: By default, fulfillment charges require manual approval — you review the order and authorize payment before production begins. You may optionally enable auto-charge, which automatically charges your saved payment method when an order is received.

Failed Payments: If a charge fails, production does not begin. We will send email notifications alerting you to the failed payment and provide the opportunity to update your payment method or retry the charge. If payment is not resolved within 7 days, the order may be cancelled.

4.4 Kodiak POD Refund Policy

• Order not yet in production: Full refund issued upon request.
• Order in production: No refund available, as materials have been committed and production has begun.
• Defective product: Full refund or free replacement at our discretion. Contact support@livedesigner.ai with photos of the defect within 7 days of delivery.
• Shipping damage: Contact support@livedesigner.ai with photos within 7 days of delivery. We will issue a replacement or refund.
• Customer design errors: We produce exactly what is ordered. If a customer's own design contains errors (typos, low-resolution images), this is not considered a defect. We recommend merchants use our Design Quality Checker and Proof Approval features to catch issues before production.

Refunds for fulfillment charges are processed back to the original Stripe payment method and typically appear within 5–10 business days.

4.5 App Subscription Cancellation

You may cancel your Live Designer subscription at any time through the Shopify admin. Cancellation takes effect at the end of your current billing period. No prorated refunds are provided for partial billing periods. Upon cancellation, your products remain on your Shopify store but the Live Designer customization widget will be disabled.

Cancelling your app subscription does not cancel outstanding Kodiak POD orders that are already in production.

5. Acceptable Use

You agree not to use our Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Create, upload, or distribute content that is illegal, obscene, defamatory, or promotes violence or hatred
• Upload malicious code, viruses, or any software intended to damage the Service
• Attempt to gain unauthorized access to our systems, data, or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to send spam or unsolicited communications
• Resell, sublicense, or redistribute the Service without our written permission
• Use automated scripts or bots to access the Service in a manner that exceeds reasonable use

We reserve the right to suspend or terminate your access for violation of these terms.

6. Intellectual Property

6.1 Our Content

The App, including its design, features, source code, documentation, and branding, is owned by BrandLift and protected by intellectual property laws. You may not copy, modify, reverse engineer, or distribute our software without written permission.

6.2 Your Content

You retain full ownership of all designs, images, logos, and content you create or upload using our tools. By using our Service, you grant us a non-exclusive, worldwide license to process, store, display, and transmit your content solely as necessary to provide the Service — including generating print-ready files, rendering design previews, storing designs for reorder functionality, transmitting design files to fulfillment providers for production, and displaying designs in your account dashboard and order management interface.

This license terminates when you delete your content or cancel your account, except for content already submitted for production fulfillment.

6.3 End Customer Content

Your customers may upload images and create designs using the Live Designer on your storefront. You are responsible for establishing your own terms of service and acceptable use policies for your customers. We are not responsible for the content your customers upload. You agree to indemnify us against any claims arising from customer-uploaded content that infringes third-party rights.

6.4 Clipart and Template Library

Our clipart and template libraries are provided for use with our Service only. You may use library assets in products sold through your store. You may not redistribute, resell, or sublicense the library assets themselves outside of finished products.

7. Kodiak POD Fulfillment Terms

7.1 Production

Kodiak Print on Demand products are manufactured by Kodiak Decorated Products in Green Bay, Wisconsin. Standard production time is 2–3 business days from the time payment is confirmed. Production times may vary during peak periods (November–December, Back to School). We will communicate any significant delays.

7.2 Quality

We strive to produce high-quality products that match the submitted design files. Minor variations in color, positioning, or finish may occur due to the nature of laser engraving and printing processes. These minor variations are not considered defects.

7.3 Shipping

Shipping is calculated per order based on destination, weight, and selected shipping method. Shipping costs are included in the fulfillment charge and displayed before you authorize payment. We are not responsible for shipping delays caused by carriers, weather, or circumstances beyond our control.

7.4 Order Disputes

If you believe a charge is incorrect, contact support@livedesigner.ai before initiating a chargeback with your bank. We will work to resolve billing disputes promptly. Initiating a chargeback may result in a hold on your account and any orders currently in production until the dispute is resolved.

8. Third-Party Integrations

Our Service integrates with third-party providers including Shopify, Stripe, Printify, Printful, Klaviyo, and Amazon Web Services. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or performance of third-party services.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or to address security issues. We will provide reasonable notice of planned maintenance when possible.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR MEET YOUR SPECIFIC REQUIREMENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRANDLIFT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless BrandLift, Kodiak Decorated Products, and their officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorney fees) arising from: your use of the Service, your violation of these Terms, content you or your customers upload or create through the Service, your violation of any third-party rights, and products you sell using the Service.

13. Termination

13.1 By You

You may terminate your use of the Service at any time by uninstalling the app from your Shopify store and cancelling your subscription.

13.2 By Us

We may suspend or terminate your access to the Service immediately and without notice if you: violate these Terms, fail to pay outstanding charges, engage in fraudulent activity, or if we are required to do so by law.

13.3 Effect of Termination

Upon termination: your right to use the Service ceases immediately, your Live Designer widgets will be disabled on your storefront, your data will be retained for 30 days to allow for reactivation, and after 30 days (or upon receiving Shopify's shop/redact webhook), your data will be permanently deleted except where retention is required by law. Outstanding Kodiak POD orders in production at the time of termination will be completed and delivered. You remain responsible for payment of any outstanding fulfillment charges.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Wisconsin, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Brown County, Wisconsin, and you consent to the personal jurisdiction of such courts.

For disputes related to fulfillment charges or product quality, we encourage you to contact us first at support@livedesigner.ai. We commit to attempting to resolve disputes informally before either party initiates formal proceedings.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BrandLift regarding the Service and supersede all prior agreements and understandings.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the App at least 30 days before the changes take effect. For non-material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
